Welcome to Keizer Technologies. These Terms & Conditions (“Terms”) govern your access to and use of the Keizer Technologies website, software, platforms, applications, products, services, and related offerings (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Services.
1. About Keizer Technologies
Keizer Technologies (“Keizer,” “we,” “us,” or “our”) provides technology solutions, software, AI-powered services, consulting, product development, and related business and healthcare technology services.
Our Services may include, without limitation:

Specific Services may be subject to additional terms, order forms, subscription agreements, statements of work, service agreements, or other contractual documents. If there is a conflict between these Terms and a specific written agreement, the specific agreement will control for the applicable Services.
2. Eligibility
You must have the legal capacity to enter into a binding agreement to use our Services.
If you use the Services on behalf of a company, healthcare organization, practice, agency, or other entity, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to both you and the organization.
3. Account Registration
Certain Services may require you to create an account.
You agree to:

Provide accurate and complete information.

Maintain the accuracy of your account information.

Keep your login credentials confidential.

Take reasonable steps to protect your account.

Notify us promptly of any unauthorized access or suspected security incident.

Accept responsibility for activity conducted through your account, except where caused by Keizer’s breach or negligence.
Keizer reserves the right to suspend or terminate accounts that contain materially inaccurate information or are used in violation of these Terms.
4. Use of the Services
You may use the Services only for lawful business purposes and in accordance with these Terms.
You agree not to:

Use the Services for unlawful, fraudulent, or abusive activities.

Attempt to gain unauthorized access to the Services or related systems.

Circumvent security or access controls.

Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services, except where permitted by applicable law.

Copy, reproduce, resell, lease, or distribute the Services without authorization.

Interfere with the operation or security of the Services.

Introduce malware, viruses, or other harmful code.

Use automated methods to access the Services in a manner that violates our policies or technical restrictions.

Use the Services to violate the rights of another person or organization.

Use the Services to transmit content that is unlawful, defamatory, fraudulent, threatening, or otherwise prohibited by applicable law.
Keizer may restrict or suspend access where reasonably necessary to protect the Services, users, customers, or third parties.
5. AI-Powered Services
Certain Keizer Services use artificial intelligence, machine learning, automated decision-support, voice technology, natural language processing, or other automated technologies (“AI Services”).
AI-generated outputs may include summaries, classifications, recommendations, responses, transcriptions, scheduling actions, workflow suggestions, or other information.
You acknowledge that:

AI-generated outputs may contain errors or omissions.

AI outputs should be reviewed and validated by an appropriately qualified person when the circumstances require human judgment.

AI Services are intended to assist users and automate workflows and are not a substitute for professional judgment.

You are responsible for reviewing AI-generated information before relying on it where accuracy, legal compliance, clinical judgment, financial decisions, or other material consequences are involved.
Keizer does not guarantee that AI-generated outputs will always be accurate, complete, current, or suitable for a particular purpose.
6. Healthcare and Patient-Related Use
Certain Keizer Services may be used by healthcare organizations or in connection with patient-related workflows.
Unless expressly agreed in writing, Keizer does not provide medical advice, diagnosis, treatment, or clinical decision-making services.
Healthcare customers remain responsible for:

Determining whether a Service is appropriate for their intended use.

Reviewing AI-generated outputs where appropriate.
-
Maintaining appropriate clinical and administrative oversight.
-
Obtaining any required patient consents or authorizations.
-
Complying with applicable healthcare, privacy, telecommunications, consumer-protection, and other laws and regulations.
Where applicable, Keizer may enter into a separate Business Associate Agreement (“BAA”) or other data-processing agreement with an eligible customer. Such agreements may contain additional requirements governing protected health information and other regulated data.
7. User Content and Customer Data
You may provide information, data, documents, recordings, communications, or other content to the Services (“Customer Data”).
You retain ownership of your Customer Data.
You grant Keizer the limited rights necessary to host, process, transmit, store, analyze, and otherwise use Customer Data solely to provide, maintain, secure, support, and improve the Services, subject to applicable agreements and law.
You represent that you have all necessary rights, permissions, consents, and authorizations required for Keizer to process Customer Data as contemplated by the applicable Services.
Keizer will handle personal information in accordance with its applicable Privacy Policy and any applicable data-processing or business associate agreement.
8. Call Recording and Communications
Certain Services may involve telephone calls, voice recordings, SMS messages, email communications, or other electronic communications.
Customers are responsible for ensuring that their use of these features complies with applicable federal, state, local, telecommunications, privacy, consent, recording, and marketing laws.
Where required by applicable law, customers are responsible for obtaining appropriate consent before recording or monitoring communications or sending automated communications.
Keizer may provide technical functionality to support these activities but does not guarantee that a customer’s particular use of the Services complies with every applicable law.
9. Third-Party Services and Integrations
The Services may integrate with or depend upon third-party software, platforms, APIs, EHRs, CRMs, telecommunications providers, payment processors, hosting providers, or other third-party services.
Third-party services are governed by their respective terms and policies.
Keizer is not responsible for the availability, security, functionality, accuracy, or performance of third-party services that are outside Keizer’s reasonable control.
Changes, interruptions, limitations, or discontinuation of third-party services may affect the functionality of the Services.
10. Subscriptions and Fees
Certain Services may be provided on a subscription, usage-based, project-based, or other paid basis.
Pricing, billing frequency, usage allowances, implementation fees, overage fees, and other commercial terms will be specified in the applicable order form, proposal, subscription agreement, invoice, or other commercial agreement.
Unless otherwise stated in writing:

Fees are due according to the applicable billing terms.

Fees are generally non-refundable except where required by law or expressly agreed otherwise.

Taxes and government-imposed charges may be added where applicable.
-
Customers are responsible for applicable taxes associated with their purchase or use of the Services.
Keizer may modify pricing for future subscription periods by providing reasonable notice where required by the applicable agreement or law.
11. Free Trials, Demonstrations, and Pilots
Keizer may offer demonstrations, evaluations, free trials, proof-of-concept programs, or pilot programs.
Unless otherwise agreed in writing:

Trial or pilot access is provided for evaluation purposes.
-
Certain features or usage limits may apply.
-
Trial or pilot services may be discontinued at any time.
-
Customer data provided during a trial or pilot will be handled in accordance with applicable agreements and policies.

Any conversion from a trial or pilot to a paid Service will be subject to the applicable commercial terms.
12. Intellectual Property
The Services, including software, source code, object code, designs, interfaces, workflows, documentation, trademarks, logos, methodologies, algorithms, models, technology, and other materials provided by Keizer are owned by or licensed to Keizer and are protected by applicable intellectual-property laws.
Except for the limited rights expressly granted under these Terms or a separate agreement, no rights are granted to you.
Keizer Technologies, Keizer Front Desk™, and associated names, logos, designs, and marks are trademarks or proprietary assets of Keizer Technologies or their respective owners.
You may not use Keizer’s trademarks or branding without prior written permission.
13. Customer Feedback
If you provide suggestions, recommendations, ideas, or other feedback regarding the Services, you grant Keizer the right to use that feedback without restriction or compensation, provided that such use does not disclose your confidential information.
14. Confidentiality
Where the parties exchange confidential information in connection with the Services, such information will be protected according to any applicable confidentiality or non-disclosure agreement.
If no separate confidentiality agreement applies, each party agrees to use reasonable measures to protect the other party’s confidential information and use it only for purposes related to the applicable business relationship.
15. Service Availability
Keizer will use commercially reasonable efforts to maintain availability of the Services.
However, we do not guarantee that the Services will:

Be available at all times.
-
Operate without interruption.
-
Be completely error-free.
-
Be compatible with every device, system, or third-party service.
-
Remain unchanged indefinitely.
Services may occasionally be unavailable due to maintenance, upgrades, security measures, third-party dependencies, outages, or circumstances beyond our reasonable control.
16. Security
Keizer maintains reasonable administrative, technical, and organizational measures designed to protect the Services and information processed through them.
However, no internet-based system or electronic transmission can be guaranteed to be completely secure.
Customers are responsible for maintaining appropriate security practices for their accounts, systems, users, devices, integrations, and Customer Data.
17. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
Keizer disclaims all warranties, express or implied, including warranties of:

Merchantability

Fitness for a particular purpose
-
Non-infringement
-
Accuracy
-
Availability
-
Reliability
-
Uninterrupted operation
Keizer does not warrant that the Services or AI-generated outputs will meet every customer’s requirements or that results will always be accurate, complete, or error-free.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Keizer Technologies and its officers, directors, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, goodwill, or business interruption arising from or related to the Services.
To the maximum extent permitted by applicable law, Keizer’s aggregate liability arising from or relating to the Services will be limited to the fees paid by the customer to Keizer for the applicable Services during the [three/six/twelve] months immediately preceding the event giving rise to the claim.
This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.
19. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Keizer Technologies and its affiliates, officers, directors, employees, and service providers from claims, liabilities, damages, losses, and expenses arising from:

Your violation of these Terms.

Your misuse of the Services.
-
Your Customer Data.
-
Your violation of applicable law.
-
Your violation of another party’s rights.
-
Your use of third-party integrations or services.
The foregoing does not apply to the extent a claim results from Keizer’s own gross negligence, willful misconduct, or other conduct that cannot legally be indemnified.
20. Suspension and Termination
Keizer may suspend or terminate access to the Services if:

You materially breach these Terms.
-
You fail to pay applicable fees.
-
Your use creates a security, legal, or operational risk.
-
You engage in fraudulent, abusive, or unlawful activity.
-
Suspension or termination is otherwise permitted under the applicable agreement.
Upon termination, your right to use the applicable Services will end.
Where applicable, data retention and deletion will be handled according to the applicable subscription agreement, data-processing agreement, BAA, or Keizer’s applicable policies.
21. Changes to the Services
Keizer may modify, update, replace, or discontinue portions of the Services from time to time.
We may introduce new features, modify existing functionality, change technical requirements, or discontinue features when reasonably necessary for business, technical, security, legal, or regulatory reasons.
For materially adverse changes to a paid Service, Keizer will provide notice where required by the applicable agreement or law.
22. Changes to These Terms
Keizer may update these Terms from time to time.
When we make material changes, we may update the “Last Updated” date and provide additional notice where appropriate.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
23. Governing Law
These Terms will be governed by and interpreted in accordance with the laws of the State of [Florida], without regard to its conflict-of-law principles, unless otherwise required by applicable law or a separate written agreement.
Any disputes will be resolved in the courts located in [County, Florida], unless the parties have agreed to an alternative dispute-resolution process in a separate agreement.
24. Force Majeure
Keizer will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, telecommunications failures, internet outages, power failures, cyber incidents, government actions, labor disputes, war, civil unrest, epidemics, pandemics, or failures of third-party infrastructure.
25. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
26. Waiver
A failure by Keizer to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.
27. Entire Agreement
These Terms, together with any applicable order forms, subscription agreements, statements of work, privacy policies, BAAs, data-processing agreements, and other written agreements between you and Keizer, constitute the agreement governing your use of the applicable Services.
